Terms of Service

1. Agreement to Terms

By accessing or using ValidKit's email validation API service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including AI agents, developers, and companies integrating our API.

2. Description of Service

ValidKit provides an email validation API service designed for AI agents and developers. Our Service includes:

  • Real-time email address validation
  • Bulk email verification (up to 10,000+ emails)
  • API keys for authentication
  • Multi-agent tracing capabilities
  • Webhook support for asynchronous processing
  • Usage analytics and reporting

3. Account Registration and API Keys

3.1 Account Creation

To use the Service, you must provide a valid email address and may be required to provide additional information. You agree to provide accurate and complete information.

3.2 API Key Security

You are responsible for maintaining the confidentiality of your API keys. You agree to:

  • Keep your API keys secure and not share them publicly
  • Immediately notify us of any unauthorized use
  • Be responsible for all activities under your API key

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Validate email addresses for spam or unsolicited communications
  • Violate any applicable laws or regulations
  • Infringe on the privacy rights of individuals
  • Attempt to reverse engineer or compromise our Service
  • Exceed your rate limits through distributed requests
  • Share or resell access to the Service without permission
  • Use the Service for any illegal or harmful purposes

5. Pricing and Payment

5.1 Pricing Tiers

Our Service offers multiple pricing tiers as detailed on our pricing page. Prices are subject to change with 30 days notice.

5.2 Payment Terms

  • Payments are processed through Stripe
  • Subscriptions renew automatically unless cancelled
  • Overage charges apply when exceeding plan limits
  • All fees are non-refundable except as required by law

5.3 Free Tier Limitations

The free tier is subject to hard limits and may be modified or discontinued at any time.

6. Rate Limits and Fair Use

Each pricing tier includes specific rate limits:

  • Requests per minute limits based on your plan
  • Monthly validation quotas
  • Bulk request size limitations

Exceeding rate limits may result in temporary throttling or additional charges as specified in your plan.

7. Service Level Agreement (SLA)

7.1 Uptime Commitment

We strive to maintain 99.9% uptime for paid plans. This excludes scheduled maintenance and circumstances beyond our control.

7.2 Support

  • Free tier: Community support only
  • Paid tiers: Email support with response times based on plan
  • Enterprise: Dedicated support and custom SLAs available

8. Data Processing and Privacy

Our data handling practices are detailed in our Privacy Policy. Key points:

  • We do not store email addresses submitted for validation
  • API usage data is retained for billing and analytics
  • We comply with applicable data protection regulations

9. Intellectual Property

9.1 Our Property

The Service, including all software, APIs, and documentation, is owned by ValidKit and protected by intellectual property laws.

9.2 Your Content

You retain all rights to your data. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIDKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

10.3 Total Liability Cap

Our total liability shall not exceed the amount paid by you to ValidKit in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ValidKit from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. API Changes and Updates

We may modify the API with notice:

  • Minor updates: No notice required
  • Breaking changes: 30 days advance notice
  • Deprecations: 90 days advance notice

13. Governing Law and Disputes

These Terms are governed by the laws of California, United States. Any disputes shall be resolved through binding arbitration in San Francisco, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service with at least 30 days notice.

16. Additional Terms for AI Agents

When AI agents use our Service:

  • The account holder is responsible for all agent activities
  • Agents must include proper trace IDs for request attribution
  • Rate limits apply per API key, not per agent
  • Webhook endpoints must be properly secured
